Terms of Business

Terms of Service

Acceptance, quotations, handling, payment and the limits of liability.

Acceptance

What is governed here is the submission of a request through cmmcalibrationindianapolis.com, the quotation issued in response, and the performance of CMM Calibration and Repair and related work arranged through this site. Submitting a request is acceptance of these terms; so is accepting a quotation issued in response to one. Any existing signed supply agreement, or agreed purchase-order terms, takes precedence over these terms to the extent of any conflict.

Contract Review

Before any quotation goes out, the request is reviewed: for a clearly stated and understood requirement, for the method, range and measurement capability the work needs, and for whether the laboratory selected to carry it out is competent to perform it.

A required statement of conformity brings a decision rule and a specification, both agreed in writing before work begins. If the requirement changes after acceptance, the review runs again and the change is confirmed to the customer before work continues. A request that cannot be met as specified is either declined or returned with an alternative scope, rather than quietly reduced and accepted.

Externally Provided Services

The technical work itself is externally provided, and the arrangement is set out here and not left to be inferred. Indianapolis CMM Calibration and Repair operates cmmcalibrationindianapolis.com as a marketing and referral website; it is not itself a calibration laboratory and does not perform the measurements it describes. Requests are passed to external laboratories holding their own accreditation, operating their own quality management systems, and issuing their own certificates and reports.

Selection of an external provider is against stated criteria — current accreditation and the scope of it, demonstrated capability for the specific measurement requested, traceability arrangements, and record of on-time delivery. Ongoing monitoring follows, and a provider that ceases to meet the criteria is not used. Where a customer specifies that work must not be subcontracted, the instruction is honored or the request is declined.

Payment reaches the operator of this website in connection with that introduction, in the form of a referral fee, a fixed fee for the use of this website, or a commission on work that is placed. Stating it plainly keeps the commercial relationship behind the site from being left implicit. The price quoted is not affected, and the payment gives the operator no role in performing, approving or certifying any measurement.

Quotation and Revision

Quotations are written documents, each valid for thirty (30) days from the date of issue unless the quotation sets a different period. They are built from the item description, quantity, measurement points, tolerances and turnaround that came with the request.

Work stops short of proceeding when the item received differs from the item described — extra channels, a wider range, damage, or a condition needing repair before measurement is possible. In that case a revised quotation is issued, and work does not proceed until that revision is approved in writing.

Turnaround

Business days are the unit turnaround is quoted in, and the count starts at receipt of the item or receipt of written approval to proceed, whichever falls later. Expedited handling can be arranged where capacity allows, and is quoted separately. Commitments are given in good faith against current capacity; where one cannot be met, notice is given as soon as the delay is known, together with a revised date.

Items and Risk

Shipping an item means packaging adequate for transit, together with any accessories, fixtures, cables or software the work needs. Transit risk, in both directions, belongs to the customer unless carriage was arranged and charged on the quotation.

Should an item prove unsafe, contaminated, or outside the condition accepted at review, it is returned unworked, the reason stated. After the collection or despatch period agreed on the quotation, the customer bears the risk on a completed item.

Payment

Without a credit account approved in advance, certificates and items are released only against payment in full; with one, invoices fall due net thirty (30) days from the date of invoice.

Unless the quotation says otherwise, taxes, duties and carriage sit outside the quoted price. Interest at the lower of one and one-half percent (1.5%) per month or the maximum permitted by law may accrue on a balance left overdue, and further work may be suspended for as long as that balance stays unpaid.

Use of Certificates

The performing laboratory issues the certificate or report, and it remains that laboratory's technical record. Payment in full carries with it an unrestricted right for the customer to keep, copy and use the certificate for its own quality, audit and regulatory purposes.

Certificates are complete documents and may be reproduced only in full; partial reproduction requires written approval. Copies are retained for the period stated in its records policy and can reissue against the original certificate number.

Confidentiality

Everything obtained or created in the course of a request is confidential — drawings, specifications, tolerances, measurement results, and the existence of the engagement itself. Access is limited to the personnel and providers who need it to complete the work. Two exceptions are stated: disclosure required by law, and disclosure to an accreditation body exercising its rights of access. A customer facing a legally required disclosure is notified, except where that notification is itself prohibited.

Limitation of Liability

The standard of performance is reasonable skill and care, in accordance with the methods and standards stated on the quotation and on the resulting certificate. Defective work is remedied by re-performance of the affected work or by a refund of the amount paid for it, whichever the customer elects.

Liability is capped. To the maximum extent permitted by law, total liability arising out of any engagement is limited to the amount paid for the work giving rise to the claim, and loss of profit, loss of production, loss of contract and any indirect or consequential loss are excluded. Nothing here limits liability that cannot be limited by law.

Governing Law, Forum and Revisions

The laws of Indiana apply to these terms, without regard to conflict-of-law principles, and a claim is brought in the courts of that jurisdiction unless a different forum has been agreed in writing.

Amendment is possible, and the version published at cmmcalibrationindianapolis.com on the date a quotation is issued is the version that applies to that engagement. The privacy and data handling, the website disclaimer and the raising a concern or complaint set out the related terms.
